Terms of Service

These terms govern your use of the Demandly platform. Please read them carefully before using our services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or entity, referred to as "you" or "your") and Demandly ("we," "our," or "us") governing your access to and use of the Demandly platform, including our website at demandly.io, all related applications, APIs, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Demandly is an operating system for modern commerce that provides:

• Demand Planning: AI-powered demand forecasting and inventory optimization tools.
• Inventory Management: Real-time stock tracking, warehouse management, and purchase order management.
• Analytics: Business intelligence dashboards, cohort analysis, and custom reporting.
• AI Operator: Automated AI assistant that monitors operations and handles routine tasks.
• Operator Marketplace: A platform connecting businesses with vetted operations professionals.
• Integrations: Connections to third-party ecommerce platforms, ERPs, and business tools.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. Accounts & Registration

Account Creation

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Organization Accounts

Business accounts are organized under Organizations. The organization owner has administrative control over the account, including the ability to add and remove team members, manage permissions, and control data access.

Account Security

You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Maintain the security of your password and accept all risks of unauthorized access.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Free Tier & Paid Plans

Free Access

Demandly provides free access to qualifying businesses with annual revenue under $20 million USD. Free access includes all Professional plan features. Eligibility is verified during onboarding and may be re-evaluated periodically.

Paid Plans

Businesses exceeding the free tier threshold may choose from our paid plans (Starter, Professional, Enterprise). Plan details, pricing, and feature comparisons are available on our Pricing page.

Fair Use

Free tier accounts are subject to fair use limits on API calls, data storage, and computational resources. We will notify you if your usage approaches these limits and work with you to find an appropriate solution.

5. Operator Marketplace

For Businesses

The Operator Marketplace allows you to engage vetted operations professionals ("Operators") to manage your Demandly platform and supply chain operations. When engaging an Operator:

• You authorize the Operator to access your organization's data as necessary to perform their duties.
• Engagement rates are fixed and transparent based on the Operator's tier (Operator, Senior Operator, Director).
• You may terminate an engagement at any time with 7 days notice.
• Demandly facilitates but is not a party to the engagement between you and the Operator.

For Operators

If you join Demandly as an Operator, you agree to:

• Maintain the confidentiality of all client data you access.
• Provide services professionally and in good faith.
• Accept payment through Stripe Connect with a 10% platform fee retained by Demandly.
• Not solicit clients outside the platform for 12 months after an engagement ends.
• Comply with all applicable Operator Guidelines published separately.

Cooperative Ownership

Active Operators accumulate ownership shares in Demandly based on their contributions. Ownership share calculations, vesting schedules, and distribution terms are governed by the Demandly Cooperative Agreement, available to all registered Operators.

6. Your Data & Content

Ownership

You retain all rights, title, and interest in your data and content uploaded to the Service ("Your Data"). We do not claim ownership of Your Data.

License Grant

By uploading Your Data to the Service, you grant us a limited, non-exclusive, worldwide license to use, process, and store Your Data solely for the purpose of providing and improving the Service for your organization.

Data Isolation

Your Data is logically isolated from other organizations' data. We do not use Your Data to train AI models for other customers. We do not share Your Data with other organizations unless you explicitly authorize it.

Data Portability

You may export Your Data at any time through the Service's built-in export features or by contacting our support team. Upon account termination, we will make Your Data available for export for 30 days before permanent deletion.

7. Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, logos, and other content (excluding Your Data), is owned by Demandly and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You may not:

• Copy, modify, or distribute the Service or any part thereof.
• Reverse engineer, decompile, or disassemble any aspect of the Service.
• Remove or alter any proprietary notices or labels.
• Use the Service to build a competing product or service.
• Sublicense, resell, or redistribute access to the Service.

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe on the intellectual property rights of others.
• Upload malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to other accounts or systems.
• Interfere with the proper functioning of the Service.
• Engage in data scraping, crawling, or automated data extraction.
• Use the Service for any illegal, fraudulent, or deceptive purpose.
• Harass, abuse, or harm other users or Operators.
• Misrepresent your identity, company size, or revenue for the purpose of qualifying for the free tier.

We reserve the right to investigate and take appropriate action against anyone who violates these restrictions, including suspending or terminating access to the Service.

9. AI Features & Limitations

The Service includes AI-powered features such as demand forecasting, inventory recommendations, natural language querying, and automated purchase order creation. Regarding these features:

• No Guarantee of Accuracy: AI-generated forecasts, recommendations, and insights are probabilistic estimates and should not be relied upon as the sole basis for business decisions.
• Human Oversight: You are responsible for reviewing and approving AI-generated actions before they affect your operations. The AI Operator requires confirmation for significant actions unless you configure automatic approval.
• Data Dependency: AI feature quality depends on the quantity and quality of data you provide. Results may be less accurate with limited historical data.
• Continuous Improvement: AI models are updated periodically. Forecast accuracy and recommendations may change as models are improved.

Demandly is not liable for business losses resulting from reliance on AI-generated recommendations. You acknowledge that AI features are tools to support, not replace, human judgment.

10. Payment & Billing

Subscription Billing

Paid plans are billed either monthly or annually, depending on your selection. All prices are in USD unless otherwise specified. Payments are processed securely through Stripe.

Renewals

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. We will send a reminder notification at least 7 days before renewal.

Refunds

Annual plans are eligible for a full refund within 14 days of purchase. Monthly plans are non-refundable but may be cancelled at any time, effective at the end of the current billing period. We may offer prorated refunds at our discretion for extenuating circumstances.

Price Changes

We may change our prices with at least 30 days advance notice. Price changes will take effect at the start of your next billing cycle. If you do not agree to a price change, you may cancel your subscription before it takes effect.

Operator Payments

Payments for Operator engagements are processed through Stripe Connect. Businesses are billed according to the agreed schedule. Operators receive 90% of the engagement fee, with 10% retained by Demandly as a platform fee.

11. Termination

By You

You may terminate your account at any time through your account settings or by contacting support. Upon termination:

• Your access to the Service will cease immediately.
• Your Data will be available for export for 30 days.
• After 30 days, Your Data will be permanently deleted.
• Any outstanding payment obligations remain due.

By Us

We may suspend or terminate your account if:

• You violate these Terms or our Acceptable Use Policy.
• Your account has been inactive for more than 12 consecutive months.
• We are required to do so by law.
• We reasonably believe your account is being used fraudulently.

We will provide reasonable notice before termination except in cases of fraud, legal requirement, or serious Terms violations that require immediate action.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained from the Service, including AI forecasts, will be accurate or reliable.
• Any errors in the Service will be corrected.
• The Service will meet your specific requirements.

You use the Service at your own risk. No advice or information, whether oral or written, obtained from us shall create any warranty not expressly stated in these Terms.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEMANDLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to access or use the Service.
• Any conduct or content of any third party on the Service, including Operators.
• Any content obtained from the Service, including AI-generated recommendations.
• Unauthorized access, use, or alteration of your transmissions or content.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

14. Indemnification

You agree to indemnify, defend, and hold harmless Demandly and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any rights of another party.
• Your Data or content uploaded to the Service.

15. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration. You may opt out of this arbitration agreement by notifying us in writing within 30 days of account creation.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days notice of material changes via email or a prominent notice within the Service. Non-material changes may take effect immediately upon posting.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.
